Kathleen Conlon

Kathleen Conlon

Non-Executive Chairman

Ms Conlon has been a professional, non-executive director for more than 20 years. She has extensive experience advising and leading some of Australia’s largest companies, most recently as Chair of Lynas Rare Earths Limited.

Ms Conlon is currently a Non-Executive Director of ASX-listed companies Aristocrat Leisure Limited and BlueScope Steel Limited, and Chairs the Corporate Governance Committee of the Australian Institute of Company Directors (AICD) and is a member of Chief Executive Women.

Ms Conlon is a former Non-Executive Director of CSR Limited, REA Group Limited, DLA Philips Fox and the Benevolent Society.

Prior to becoming a Non-Executive Director, Ms Conlon was a partner with The Boston Consulting Group where she held several Australia and US based leadership positions.

In her 20 years of professional consulting, Ms Conlon provided strategic and operational advice to companies across a wide range of industries and countries.

In 2003, Ms Conlon was awarded a Commonwealth Centenary Medal in recognition of her service to business leadership in Australia.

Ms Conlon was appointed to the Pilbara Minerals Board as Non-Executive Director on 1 January 2024 and became Non-Executive Chairman on 1 February 2024.

Dale Henderson

Managing Director & CEO

Mr Henderson is an experienced mining executive with a strong track record of delivering positive financial outcomes for resource businesses and complex operations. Since joining Pilbara Minerals in 2017 as Chief Operating Officer, Mr Henderson has played an instrumental role in leading the Company from project developer to become an ASX50 company, now operating the largest independent hard-rock lithium operation in the world, the Pilgangoora Operation in Western Australia.

Mr Henderson was appointed as Managing Director and CEO in July 2022.

Sally-Anne Layman

Non-Executive Director

Ms Layman is a mining professional, corporate financier and advisor with 27 years’ of international and cross-commodity experience across six continents and more than 20 countries. Previously, Ms Layman held a range of senior positions with Macquarie Group Limited, including as Division Director and Joint Head of the Perth office of the Metals, Mining & Agriculture Division.

Ms Layman is a Non-Executive Director of IMDEX Ltd, Beach Energy Ltd and Newmount Corporation.

Ms Layman was appointed to the Pilbara Minerals Board on 20 April 2018. She is the Chair or the Sustainability Committee and member of the Audit and Risk Committee.

Nick Cernotta

Nick Cernotta

Non-Executive Director

Mr Cernotta has more than 30 years of experience in the mining industry, spanning various commodities and operations in Australia, Africa, South East and Central Asia, Saudi Arabia and Papua New Guinea.

He holds a Bachelor of Mining Engineering and has held senior executive roles with extensive operational experience in both the public and private sectors of the mineral resources industry.

Previous roles Mr Cernotta has held include Director of Operations at Fortescue Metals Group, Chief Operating Officer at MacMahon Contracting and Director of Operations at Barrick Gold.

Mr Cernotta is the Non-Executive Chair of Panoramic Resources Limited and a Non-Executive Director of Northern Star Resources Limited. He was also a Non-Executive Chair of ServTech Global from October 2016 to December 2017.

Mr Cernotta joined the Pilbara Minerals Board on 6 February 2017. He is the Chair of the People and Culture Committee and member of the Sustainability Committee.

Steve Scudamore

Steve Scudamore

Non-Executive Director

Mr Scudamore is an experienced Australian company director. His distinguished career includes more than three decades with KPMG, including senior roles in Australia, London and PNG including Chairman of Partners WA, Head of Corporate Finance in WA and National Head of Valuations, KPMG Australia.

Since 2012, he has been a Non-Executive Director and Chair of MDA National Insurance Pty Ltd, the insurance arm of a mutual medical defence organisation founded in Perth in 1925. Mr Scudamore is a Non-Executive Director of Australis Oil & Gas and Regis Resources Ltd and a member of the Order of Australia.

His ongoing involvement in community organisations includes his role as Trustee and Vice Chair of the Western Australian Museum and WA Committee Chair of the Australian British Chamber of Commerce and member of the National Board.

Mr Scudamore joined the Pilbara Minerals Board on 18 July 2016. He is the Chair of the Audit and Risk Committee and member of the People and Culture Committee.

Miriam Stanborough

Miriam Stanborough

Non-Executive Director

Ms Stanborough is a chemical engineer with more than 20 years’ experience in the mineral processing industry across various commodities including copper, uranium, gold, silver, alumina and mineral sands. She has previously held a number of senior roles at Monadelphous, Iluka Resources, Alcoa of Australia and WMC Resources in innovation & technology, technical development, production management, project management, business improvement, HR & diversity strategy, and sales & marketing.

Ms Stanborough is the Chair of the Minerals Research Institute of Western Australia (MRIWA), Deputy Chair of the Northern Agricultural Catchments Council (NACC), and Deputy Chair of Scouts WA.

Ms Stanborough was recognised in the 2023 King’s Birthday Honours List where she was made a Member (AM) of the Order of Australia in the General Division for her significant service to the minerals and mining sector.

Ms Stanborough joined the Pilbara Minerals Board on 4 October 2021. She is a member of the Audit and Risk Committee and Sustainability Committee.

Luke Bortoli

Luke is a globally experienced finance executive with a passion for growth, technology and new industries. He has worked for some of Australia’s fastest growing companies including Afterpay, where as CFO he oversaw Afterpay’s expansion from a single region start-up to one of the world’s fastest growing multi-national platforms. Prior to that, he held senior leadership roles with Aristocrat Leisure during which time it scaled to become one of the largest gaming companies globally and Chainlink one of the world’s most significant blockchain projects.

Vince is a mining and operations executive with extensive experience across multiple commodities. Vince has held senior leadership roles in the resources sector with some of the largest mining companies in the world. Vince’s operational and leadership experience spans mining, processing, production planning and logistics. He has a proven track record of leading global technology, cultural, and health and safety programs to develop high performing teams and improve culture, safety and productivity, as well as supporting and growing female leaders in the sector.

Sandra McInnes

Chief Sustainability Officer

Sandra is a corporate affairs and sustainability executive with an accomplished career in the resources sector. Sandra has led and advised on corporate strategy and stakeholder relationship management to maintain company reputation and driven improvement in sustainability and social performance. She has deep leadership experience across all facets of people and culture, with a focus on building teams and people capability, and creating a more inclusive work environment. Prior, to joining Pilbara Minerals, Sandra was Vice President of Corporate Affairs at Woodside.

John Stanning

John Stanning

John is an experienced corporate development and finance executive in the critical minerals and investment banking sectors. He has deep lithium sector relationships and a proven track record of assisting battery materials companies with corporate strategy including executing growth, investment and funding plans. As an investment banker, John advised on 15 transactions in the lithium sector. Prior to joining Pilbara Minerals, John co-headed Macquarie Capital Perth and advised Pilbara Minerals on the successful acquisition of Altura Mining and associated equity raising.

Paul Laybourne

Paul Laybourne

Project Director

Paul is an experienced project executive with an extensive career in the resources industry, successfully delivering complex studies and projects in both a brownfield and greenfield environment. Paul has a strong track record of success, leading all aspects of project management with a strong focus on safety, budget, time and cost. Prior to joining Pilbara Minerals, Paul played a lead role in successfully delivering major and mega projects including Roy Hill Iron Ore, which at the time was the world’s largest debt-funded resource project.

Jen Mintz

Jen Mintz

General Counsel

Jen is an accomplished legal executive specialising in the mining industry and projects involving the construction of major infrastructure. She has been both a partner in and consultant to, major international and national law firms. Jen has also been General Counsel and held other senior roles within major mining companies.  Recognised consistently in the publication Best Lawyers, Jen joined Pilbara Minerals in 2019 and has been instrumental in advising the Company through a number of complex transactions and major projects including the Altura acquisition, the P680 and P1000 Projects, offtake and joint venture agreements as well as the establishment of the BMX platform.
