ClearVue Technologies is conducting a single-tranche placement to raise approximately A$5.0 million (before costs), with the Company reserving the right to accept oversubscriptions.

~43.5 million new ordinary shares are being issued at A$0.1150 per share.

Investors will receive one (1) attaching option for every one (1) new share allocated under the placement. The attaching options carry an exercise price of A$0.1150 and expire 3 years from the date of issue. The Company intends to list the attaching options on the ASX, subject to achieving sufficient spread requirements. The attaching options will be issued subject to an Extraordinary General Meeting (EGM).

In addition to the placement, the Company intends to undertake a Share Purchase Plan (SPP) of up to A$1.0 million at the same price and with the same attaching options. The Company is in discussions to have the SPP partially or fully underwritten.

The placement price of A$0.1150 represents a:

ClearVue Technologies (ASX: CPV) is an Australian smart-building materials company that has developed patented solar glazing technology capable of transforming ordinary building glass into electricity-generating surfaces without sacrificing transparency or aesthetics. The technology uses a proprietary interlayer embedded within the glass to redirect UV and infrared light to photovoltaic cells at the edges, allowing the glass to generate power while maintaining up to 70% visible light transmission. Its product suite includes solar windows, facades, skylights, cladding, balustrades, rooftop solutions, and horticultural glass, targeting commercial, residential, and agricultural applications worldwide.

The Problem

Buildings are responsible for approximately 40% of global energy consumption, and the construction industry faces intensifying regulatory pressure to reduce carbon emissions. Conventional rooftop solar has made meaningful progress, but it addresses only a small fraction of a building's available surface area. The vast majority of a modern commercial building's exterior — its curtain walls, windows, spandrels, and facades — remains an untapped energy resource. Architects and developers have historically had to choose between aesthetics and sustainability.

The Solution

ClearVue's patented technology integrates solar generation directly into the glass itself. Micro and nanoparticles within a proprietary interlayer interact with UV and infrared light, redirecting it to photovoltaic cells embedded at the edge of the glass pane — while visible light continues to pass through at up to 70% transmission. The result is a standard-looking, architecturally compatible building material that simultaneously reduces energy consumption through thermal performance and generates electricity on-site. It can be manufactured using existing glass production lines, reducing the cost and friction of partner adoption, and is deployable using standard industry framing systems. Manufacturing time per unit has been reduced to seconds compared to conventional double-glazed units.
