Sebatikel Holdings Pty Ltd (“Offeror”) is pleased to offer 30 unsecured Loan Notes, each with a face value of AUD $100,000, to sophisticated investors.

Each note provides either resort credit or cash interest at the end of each year and the value of the principle is repaid in full at the maturity of the note (5 years).

These notes support the development and infrastructure of Hotel Sebatikel, a low-impact luxury resort in Exmouth, Western Australia.

About Hotel Sebatikel

Hotel Sebatikel is a low-impact luxury resort situated on a five-hectare Crown lease site on the edge of the proposed Exmouth Gulf Marine Park, directly adjacent to the Murdoch Park Golf Course and within proximity to the Ningaloo Coast (Nyinggulu) World Heritage Area. The project is the culmination of a design-centric, environmentally responsive and community-conscious vision led by Phil Smith and Mon Palmer.

The project integrates regenerative landscape strategies, thermally efficient building design and socially inclusive programming to create a benchmark model for responsible tourism in Western Australia.

With just nine high-end suites for up to 24 in-house guests and 120 day guests at a time, Hotel Sebatikel is purposefully intimate. Despite this scale, the resort will deliver experiences usually reserved for larger properties:

  • Suites - 9 luxury suites including 6x Deluxe (with accessible option), 2x One Bedroom Clubs, 1x One Bedroom Pool (2 Bedroom adjoining options avail)

  • DBL TRPL™ - Anchored by a single, masterfully contoured green and nine bespoke tee boxes, this (index-pending) short course is designed for both leisure and precision. Reserved for Noteholders, Club Sebatikel members and in-house hotel guests (GA number required to play in weekly competitions).

  • Court Club - Pickleball court and pool club, by reservation only. Priority access given to Noteholders.

  • Troba - By night, Troba is the signature dining room. By day, it becomes the Club Lounge, reserved exclusively for Noteholders, members and club guests.

  • The Walter - A private and intimate speakeasy.

  • Wellness Pavilion - Designed to revitalise and rejuvenate our guests and members. Featuring an infrared sauna, mineral hot & cold plunges, reformer Pilates, fitness & recovery centre and lounging courtyard. Each booking provides 1.5 hours of private access, with a max of six guests per session.The space is adults only, ensuring a consistently calm and restorative atmosphere.

  • SPA at Sebatikel - Designed as a once-per-day ritual rather than a menu item, the Sebatikel Signature is a deeply immersive five-hour spa experience, limited to just two guests per day.

In the event of a defined default — such as insolvency or non-payment — Noteholders may demand full redemption of their principal and accrued interest in accordance with the Loan Note Deed Poll.

Option A - Cash Interest

  • Fixed 8% simple interest per annum
  • Year 1: All accrued interest will be capitalised (added to the principal)

Option B - Sebatikel Resort Credit

  • Year 1: All accrued interest will be capitalised (added to the principal)
  • Years 2–5: Resort Credit valued at AUD $10,000 per annum per Loan Note
  • Resort Credit redeemable at Hotel Sebatikel, Exmouth (e.g. spa, food & beverage, room rates)
  • Annual credits fully transferrable (e.g. family, staff, clients)

  • Welcome: Note-holders Appreciation Dinner at Wildflower, COMO The Treasury
  • VIP Pre-Bookings: Loan Note holders have VIP first-access to reservations; including high-season, school holidays and public holiday periods
  • Transferability: Resort Credits are freely transferrable to third parties
  • Early Redemption: May be redeemed before maturity at Sebatikel’s discretion
  • Final Redemption: Loan Notes redeemed in full at the end of the 5-year term
  • Cancellation Clause: If the project does not proceed, all funds and accrued interest will be returned and the Loan Notes cancelled

Use of Funds

On close of offer, proceeds from the Loan Note issuance will form part of the project's equity contribution, complementing senior debt facilities with a major Australian bank, and will be used for:

  • Civil works and development of resort infrastructure (WTP & WWTP & solar PV system)
  • Construction including pools
  • Furniture, Fixtures & Equipment (FF&E)
  • Working capital for operations

Why Sebatikel. Why Now.

Sebatikel is the culmination of years of disciplined planning, design development, regulatory work and capital formation - now entering its construction phase.

This is a founder-led, West Australian project, backed by a local Perth family and a team that has deliberately taken Sebatikel to a pivotal position before inviting external capital. The land tenure is secured via Crown lease, planning pathways are in final determination (set by a statutory timeframe) and senior debt is in progress. The loan note raise represents a targeted tranche within a clearly defined capital stack - not speculative early-stage funding.

Sebatikel has been conceived as a low-impact, high-value luxury resort in one of Australia’s most supply-constrained and environmentally significant destinations. With only nine suites, carefully controlled capacity and a strong sustainability ethos, the resort is intentionally designed to generate premium yields without reliance on scale, overdevelopment or mass tourism.

For investors, these loan notes offer a defined term, predictable return structure and participation in a project with a clear execution roadmap. Capital raised will be deployed directly into construction and delivery milestones, with principal repaid at maturity.

At the end of the five-year term, the intention is to refinance the project through stabilised operations or alternative long-term capital - returning principal in full while preserving long-term ownership of the asset.

This is an opportunity to support a purpose-driven hospitality project at a pivotal stage - one that prioritises restraint, longevity and place - while earning a structured return aligned with disciplined development fundamentals.

Co-Founder, Project & Managing Director

Phil Smith brings over two decades of frontline leadership and operational expertise to Hotel Sebatikel. A career Senior Firefighter with the Department of Fire and Emergency Services for 21 years, and trainer and assessor for on-site emergency services at major mining companies in the Pilbara and Goldfields regions, Phil is no stranger to high-pressure environments and complex project coordination. Beyond his service career and sports marketing studies, he is a decorated athlete - drafted in the 1996 national draft to Hawthorn Football Club, 1999 WAFL premiership player for West Perth and multiple-qualifier for the Ironman World Championships as an age-group competitor.

Phil’s ability to lead diverse teams, navigate logistical challenges and foster high-performance culture underpins his role in delivering Hotel Sebatikel. He oversees all aspects of project execution, from stakeholder engagement and commercial partnerships to operational readiness and the resort’s long-term strategic direction. His entrepreneurial drive is also proven - alongside Mon, he co-founded a luxury outdoor shower product and e-commerce business with a commercial plumber (and their long-time friend), selling over AUD $1 million worth of units worldwide before its acquisition.

With 17 years as the founder and principal designer of her own design studio, Mon Palmer shapes Hotel Sebatikel’s creative identity, ensuring every guest experience is grounded in the resort’s low-impact ethos and connection to place. Beginning her career in landscape design before expanding into interiors, residential architecture and award-winning multi-use developments around Australia, Mon’s work has been featured in national print and media outlets for its refined yet grounded approach.

Mon’s professional path has been as dynamic as her design portfolio. Prior to horticulture and landscape design studies, she lived and worked in London, and studied travel and tourism to become a travel consultant, cultivating a deep understanding of hospitality, destinations and the art of crafting memorable experiences. Her role at Hotel Sebatikel spans architectural and interior direction, brand development, guest journey mapping and curating conservation and community partnerships.
